THIS Enrolling Agreement is agreed with all appended terms and conditions between;
IndiaSkyline.com, a Company incorporated under the Companies Act, 1956 having their registered office at Ashirwad Building “B” wing 20, N. M Joshi Marg, Arthur Road, Subash Nagar, Mumbai 400011 (which expression, unless it be repugnant to the context or meaning thereof shall be deemed to mean and include its successors and assigns) of the FIRST PART.
And
Consulting Operating Firm________________________________________ (which expression, unless it be repugnant to the context or meaning thereof shall be deemed to mean and include his legal heirs, administrators, successors and assigns) of the SECOND PART.
The expressions “IndiaSkyline.com” and “Consultant/ Advisor/ Channel Partner” are hereinafter individually referred to as “Party” and collectively as “Parties”.
WHEREAS IndiaSkyline is an event organizer/property consulting firm based in Pune, Mumbai & U.K London, currently operating a Website Business. One of the said Website/Portal being www.indiaskyline.com which is an online platform for property. Buyers, Sellers, Property Consultants/ Agents, Builders can Search and Upload their property requirement to expedite their sale process.
AND WHEREAS the Consultant is an individual sales professional/ company or consultant who offers his services for hire in the market.
AND WHEREAS the Consultant has represented that he has the necessary, infrastructure, expertise and skill to carry out marketing of properties.
AND WHEREAS based on such representations made by the Consultant, the Consultant has approached IndiaSkyline.com (www.indiaskyline.com) and IndiaSkyline.com has agreed to appoint the Consultant as its special agent for procurement of business for properties, on a fixed commission of 75% of the Brokerage Received for Franchisee Consultant; 40% of the Brokerage received for Channel Partner “Real Estate Advisor – GOLD”; 33% of the Brokerage received for Channel Partner “Real Estate Advisor – SILVER” as per the terms and conditions stated herein below:
NOW THEREFORE, THIS AGREEMENT WITNESSETH, AND THE PARTIES AGREE TO AS FOLLOWS:
1. STATEMENT OF EMPLOYMENT
Effective as of the date of this Agreement, IndiaSkyline.com employs the Consultant as a Consultant for Indiaskyline.com, purely on a commission basis for the period of 1 Year beginning from _______________ to _____________.
2. DUTIES OF CONSULTANT
1. The Consultant will carry on the customary activities of a business consultant for IndiaSkyline.com and SourcingRealestate.com, including, but not necessarily limited to, the marketing
- and sale of flats and also rental/ leave and License flats etc..
COMMISSIONS ON SALES
Franchisee Consultant: IndiaSkyline.com shall pay to the Consultant a commission equal to 75 percent of the total income generated from the buyer or seller side as commissions will be shared side to side from the property consultants involved from the buyer and seller side. IndiaSkyline.com will retain 25% of the total revenue generated from the deal.
Channel Partner “Real Estate Advisor – GOLD”: IndiaSkyline.com shall pay to the Consultant a commission equal to 40 percent of the total income generated from the buyer or seller side as commissions will be shared side to side from the property consultants involved from the buyer and seller side. IndiaSkyline.com will retain 60% of the total revenue generated from the deal.
Channel Partner “Real Estate Advisor – SILVER”: IndiaSkyline.com shall pay to the Consultant a commission equal to 33 percent of the total income generated from the buyer or seller side as commissions will be shared side to side from the property consultants involved from the buyer and seller side. IndiaSkyline.com will retain 67% of the total revenue generated from the deal.
5. BILLING
IndiaSkyline.com will raise the bills with service tax to all concerning parties in their name in favor of M/s IndiaSkyline.com and commissions will be paid to the concerned consultant within 15 days of receiving the said amount in their account.
6. TERMINATIONS
1. Either party may terminate this Agreement with or without cause upon giving thirty (30) days prior written notice to the other party. Termination or expiration of this Agreement shall not affect any rights or obligations which have accrued prior thereto or in connection therewith.
· IndiaSkyline.com can further terminate this Agreement at any time without assigning any cause by giving 1 (One) months notice simplicities to the Consultant on the occurrence of any one or more of following events:
· a Any action by the Consultant constituting misfeasance, fraud, misappropriation or dishonesty in the course of providing the Consultancy Services;
· b. On conviction or pleading guilty by the Consultant in an offense involving moral turpitude;
· c. Gross neglect or willful refusal by the Consultant to perform the Consultant Services for a period of thirty (30) days following notice thereof by IndiaSkyline.com;
· d. Failure or refusal by the Consultant to comply with any valid and legal directive of IndiaSkyline.com consistent with the Consultant Services;
e. A breach by the Consultant of any material obligation under this Agreement, if such breach is not curable or, if curable, is not cured within thirty (30) days after written notice for rectification thereof by IndiaSkyline.com to the Consultant.
